1. Agreement Overview
This Agreement governs the terms under which the Advertiser will advertise its services/products on the Publisher’s platform(s), including but not limited to websites, social media, or search engines (e.g., Microsoft Ads).

2. Ad Content Guidelines

• The Advertiser agrees to provide accurate, lawful, and non-misleading content for all advertisements.
• Ads must comply with Microsoft Ads policies, including restrictions on prohibited content (e.g., illegal products, malware, adult content).
• The Advertiser retains responsibility for ensuring ad content does not infringe on third-party rights (e.g., copyrights, trademarks).

3. Prohibited Content
The Advertiser shall not promote:

• Illegal or unethical services/products.
• Misleading claims about veterinary services.
• Content violating Microsoft Ads’ policies or local/state/federal laws.

4. Payment Terms

• Payment for advertising services shall be made via [Payment Method], with invoices issued [Monthly/Quarterly].

9. Confidentiality
Both parties agree to protect confidential information disclosed during this Agreement.

10. Compliance with Laws

• The Advertiser shall comply with all applicable laws, including FTC guidelines, HIPAA (if applicable), and the CAN-SPAM Act.
• Ads targeting Puerto Rico must adhere to local regulations.

11. Dispute Resolution
Disputes shall be resolved through binding arbitration in [County, State].
